Asset-Based Lending & Commercial Finance
Asset-based lending has been an integral part of Miles & Stockbridge’s commercial finance practice for more than 40 years, and in that time, we have come to thoroughly understand the challenges that face lenders and borrowers in structuring, underwriting and administering credits based on the values of accounts receivable, inventory, fixed assets, intellectual property and other assets.
Our clients are involved in straightforward standard working capital loans, acquisition financings and international credit facilities—as well as more complex transactions requiring syndicated and club credits with multiple debt and equity tranches and with assets located in multiple U.S. and foreign jurisdictions.
We work closely with our clients during every stage of a transaction to understand and evaluate their risks and balance their unique business, operational and legal goals against both challenges and new opportunities. Our lawyers have a solid reputation for closing deals on time, with due diligence concluded and while preserving the business relationship with its customer or creditor.
Asset-based lenders must be prepared to deal head-on with troubled credits—Miles & Stockbridge has successfully guided clients through every downturn the finance and lending industry has faced since 1974. Difficult as it is, we have extensive experience in every facet of the enforcement process, and our decades-long familiarity with asset-based financing enables the firm to assemble knowledgeable teams that understand the distinctive position of asset-based lenders and borrowers and can counsel clients accordingly. Lawyers across varied collaborate to provide innovative business and legal solutions for our clients’ needs in every situation.
