Biography
Suzanne L. Rotbert is a senior counsel in the firm’s Corporate and Securities Practice Group.
She has a broad-based business practice serving primarily as outside general counsel to her clients and handling all kinds of business transactions.
As outside general counsel, Suzanne provides ongoing advice and assistance with a broad range of corporate and business matters, including corporate governance and management issues, employment matters (from employee agreements to EEOC matters to termination counseling), compensation matters (including equity grants and stock and phantom equity plans), contract preparation and negotiation, financing arrangements, commercial lease negotiations, the purchase, sale and merger of businesses, and business succession planning.
Working in conjunction with other lawyers in the firm’s government contracts and healthcare regulatory practices, Suzanne assists her government contracting clients and healthcare clients (physician practices) with all compliance concerns, contract assistance, and mergers and acquisitions.
Suzanne also works with start-up companies and handles choice of entity issues, business formation, the issuer side of private placements and funding rounds (by and angel and venture capital investors), incentive stock plans and employee stock compensation issues, and advisory boards and equity grants. She counsels these companies on establishing best practices in all areas of their business.
As counsel to technology firms, Suzanne assists in drafting terms of use, privacy policies, software licensing agreements, and manufacturing and distribution agreements.
Suzanne is a frequent speaker on a broad range of subjects, including corporate compliance, due diligence, mergers and acquisitions, business succession planning, employee law issues, and contract negotiations.
Suzanne has completed mediation training and can serve as a private mediator of business disputes.
