We frequently represent growing businesses across a spectrum of industries—from traditional manufacturers to technology, biotech and government contracts—in transactions that range in size from several hundred thousand dollars to $100 million—or more. We help assess our clients’ financing needs and identify appropriate financing sources. 

Having counseled clients in many private placements, our corporate and securities lawyers have an extensive familiarity with most funding sources and counsel clients knowledgeably as to appropriate funding sources for their needs. Once the parties are brought together, our goal is to make sure our client understands the details and ramifications of the financing agreement. Venture and private equity investors, for instance, generally have very specific time and financial targets for the investment return they want, and these targets often involve the desire to exercise control or oversight of the investment. We work to protect our client’s interests in the deal and strive to negotiate optimum payment, liability, taxation and management terms.
