Biography
Chapman Gould represents businesses and their owners in a variety of commercial and transactional matters.
Chap’s transactional practice includes advising his clients through all stages of the mergers and acquisitions life cycle from the letter of intent through closing, as well as in the drafting and negotiation of the requisite agreements.
He serves as outside general counsel for a diverse range of clients across many industries and advises them on matters such as entity governance, entity formation/reorganization, tax planning, employment agreements, estate planning, joint ventures, commercial contracts, equity incentive plans, and other general business matters. He also advises owners, management teams, and investors in connection with the drafting and negotiation of private capital market transactions, including guiding start-up founders through the process of entity formation, convertible debt offerings, and Series Seed and Series A offerings, all with a focus on value protection and good corporate hygiene.
Chap earned his J.D., cum laude, from the University of Baltimore School of Law and his B.A. from the University of Colorado.
