Biography

Topper Webb has represented a variety of business entities, financial institutions and individuals in a general business and transactional practice.

Topper represents numerous publicly held real estate investment trusts (REITS) and Maryland corporations with respect to Maryland's corporate laws. He and a team of lawyers in Miles & Stockbridge's corporate and securities practice group have assisted those clients, as well as Maryland corporations that are registered investment companies, in accomplishing complex corporate and financial transactions and business combinations. Topper frequently advises boards of directors and committees of boards regarding corporate governance issues, implementing takeover defenses, compliance with Maryland corporate laws and the duties of directors. He has advised special committees of boards created for the purpose of evaluating possible business combinations. He also advises nonprofit entities on corporate governance and general business matters.

Topper serves as outside general counsel to middle market businesses, including many that are owned by private equity funds. He has represented large and small business entities in a variety of industries in connection with mergers and acquisitions, capital raising and joint ventures.

Topper is recognized as one of Maryland's leading corporate/mergers and acquisition lawyers, and REIT (Maryland practice) lawyers by Chambers USA Guide to America's Leading Business Lawyers and is also listed in The Best Lawyers in America guide. In his years as a principal of Miles & Stockbridge, Topper has held a number of leadership positions, including chairing the corporate and securities practice group and the firm's recruitment hiring process, as well as serving as a member of the firm’s board of directors and president of the Miles & Stockbridge Foundation.
