Biography

Jon Stoian handles a wide variety of corporate finance, business transactions (mergers and acquisitions/private equity) and capital markets matters.

He represents asset-based lenders, mezzanine lenders, financial institutions and other business creditors in a full range of transactions, policy and strategies.

He serves as counsel to lenders nationwide, routinely handling:

  • Event-driven financing, including mergers, stock and asset acquisitions, private equity and management buyouts, cash-out distributions and ESOPs
  • Complex subordinated debt and subordinated collateral transactions
  • Revolving credit, term loan, capital expenditure and letter of credit facilities
  • Representation of the administrative and collateral agent in syndicated and club credit facilities
  • Traditional accounts receivable and inventory financing
  • Supply chain financing including factoring and buyer-sponsored programs
  • Cross-border and multi-currency facilities
  • Credits secured by foreign assets
  • Secured loans involving bankruptcy remote entities
  • Equity participations (including warrants)
  • Restructurings, workouts and bankruptcies (including debtor-in-possession financings)
  • Specialized collateral structures

Jon drafts, negotiates and advises U.S. and non-U.S. banks and other institutional lenders in connection with senior secured and mezzanine loans and other financings, restructurings and workouts. He also represents corporations and other business entities as borrowers in these transactions.

Jon has extensive experience in loan workouts, troubled credits and restructurings, which often entail complicated and sensitive negotiations, document preparation, and advising on workout and collection strategies and tactics.
