Biography
Katie Morrison represents businesses in a comprehensive range of transactional and commercial matters.
Katie’s core practice is focused on mergers and acquisitions, representing both buyers and sellers, including private equity sponsors. She advises clients on all aspects of transactions, including drafting and negotiating letters of intent, structural considerations (including reorganizations and reinvestments), managing due diligence, drafting and negotiating definitive agreements and resolving post-closing matters.
In addition to M&A transactions, Katie provides ongoing general corporate counsel and advice on a wide range of legal issues, including entity formation and structural issues, shareholder and operating agreements, employment, noncompete and restrictive covenant agreements, contract negotiation, restructurings and reorganizations, financing transactions and other corporate governance matters.
Katie previously worked as a corporate associate at other firms in the Washington area. Before entering the legal profession, she managed sales for various craft beer breweries.
