Biography
Kristin Burtzlaff focuses her practice in the areas of mergers and acquisitions, private capital market transactions, entity structuring and formation, and general corporate law. She counsels clients across a variety of industries, including government contracting, private equity, manufacturing, and real estate.
During her time at Miles & Stockbridge, Kristin has advised both buyers and sellers in several multi-million dollar equity transactions. Kristin has also advised a number of companies on early-stage private investment raises, including at the pre-seed, series seed, and series A levels.
In addition to her M&A experience, she routinely manages ongoing corporate matters for clients, involving the negotiation of various commercial agreements, preparation of stockholder and operating agreements, board resolutions, assignments, amendments, stock option grants, and securities law compliance. She also advises business clients on corporate governance matters, such as organizational and management structures, asset preservation, and succession planning.
Kristin received her J.D. degree, cum laude, from the University of Maryland Francis King Carey School of Law, where she completed a summer fellowship with the NAACP Law Fellow Program during the summer after her first year of law school. After completing her degree, she served as a judicial law clerk to the Honorable Michele D. Hotten on the Maryland Court of Appeals (now the Supreme Court of Maryland) before going on to establish her career as a lawyer.
