Miles & Stockbridge Elects Chapman Gould, Van Hilderbrand and Alisa Hurlburt As Principals

Miles & Stockbridge is pleased to announce that lawyers Chapman R. Gould, Van P. Hilderbrand, Jr. and Alisa D. Hurlburt have been elected principals of the law firm. The new class of principals combines their sophisticated legal knowledge with modern industry insights to deliver client-focused solutions in the following areas:

  • Middle market mergers and acquisitions and private equity transactions
  • The ever-evolving aspects of business, including renewable energy, climate change, sustainable development, environmental, social and corporate governance (ESG) principles, and related regulations and litigation; and
  • Strategic intellectual property and information technology development, acquisition, management and protection, and data privacy and security

Chapman “Chap” Gould (Baltimore Office) advises businesses through all stages of middle market mergers and acquisitions and private equity transactions. He serves as outside general counsel for a diverse range of clients across many industries. He advises them on matters such as entity governance, entity formation/reorganization, tax planning, employment agreements, estate planning, joint ventures, commercial contracts, equity incentive plans, and other general business matters.

He also advises owners, management teams, and investors in connection with the drafting and negotiation of private capital market transactions, including guiding start-up founders through the process of entity formation, convertible debt offerings, and Series Seed and Series A offerings, all with a focus on value protection and good corporate hygiene.

Van P. Hilderbrand, Jr. (Washington, D.C. Office) helps clients across a wide range of industries navigate the increasingly critical intersection of business, law and sustainability. His experience as an environmental and energy lawyer and litigator allows him to advise clients on integrating environmental, social and corporate governance principles and sustainability at all levels of their businesses and to avoid, manage and resolve related legal and business risks and disputes. Hilderbrand represents clients in matters and transactions involving renewable energy, climate change, sustainable development, contamination, and related regulations and litigation.

These issues are broad and they impact every industry differently. Hilderbrand leverages his experience across a wide range of industries, including energy, construction, manufacturing, consumer products, pharmaceuticals, chemicals, transportation, technology, and real estate. He delivers customized, sustainability-focused solutions that address those industry-specific challenges and provides tailored advice. He honed his understanding of internal business operations and risk management early in his career when he served as a financial analyst and corporate auditor in General Electric's energy products and services business.

Alisa D. Hurlburt (Frederick Office) brings in-house counsel experience from Elizabeth Arden, Altria and Colgate-Palmolive to her role as outside counsel representing public and private companies in complex domestic and international matters involving intellectual property, technology ideation, innovation, research and development, and data privacy and security. Hurlburt’s practice focuses on the comprehensive innovation-to-in-market lifecycle of products and services, and her clients note that she has a strong reputation for sound judgment and is a strategic thinker focused on appropriately managing risk to support business results and meaningful growth.

She helps clients develop creative business solutions in mergers and acquisitions, core IP/IT product and service asset management and valuation best practices, IP/IT licensing (including medical, pharmaceutical and bioscience technology, software, SaaS, and PaaS), IP litigation, advertising and marketing, compliance, and commercial transactions. She has represented a wide range of leading national and international product and service owners across numerous sectors, including in the consumer goods, pharmaceutical, technology, aerospace, defense, heavy equipment, bioscience, cosmetics and skincare, professional sports, and entertainment industries, and has secured rights in and protected some of the world’s most famous brands. Over her nearly three-decade career, she has practiced in New York, Hong Kong, Washington, D.C., Virginia, and Maryland.
