Biography

Michael B. Brown helps clients navigate corporate governance, financial services and real estate disputes. 

Alongside his representation of both plaintiffs and defendants in state and federal trial courts, Michael also maintains an active appellate practice. His experience litigating on both sides of the “v.” gives him a deep strategic understanding and makes Michael a trusted advisor to clients across a variety of industries.

In recent years, Michael has secured successful results for clients, including:

  • Secured multi-million dollar judgment for client in breach of fiduciary duty case and successfully defended on appeal
  • Dismissal of stockholder derivative action challenging business development company (BDC) merger
  • Dismissal of UCC Article 8 claim following publicly-traded client’s IPO
  • Dismissal of dissolution action filed against closely held LLC
  • Dismissal on forum non conveniens grounds of federal tort case arising from injuries sustained in Central America
  • Summary judgment in favor of commercial landlord over tenant’s purported force majeure defense
  • Dismissal of FDCPA consumer class action claim

Michael returned to Miles & Stockbridge in 2023 from an in-house role with a leading real estate, gaming and hospitality company based in Baltimore. As corporate counsel, Michael managed and participated in numerous complex litigation matters, negotiated and drafted a wide variety of contracts and advised on legal aspects of the company’s business activities.

He is a trustee and vice president of the board of the Jewish Museum of Maryland. He also serves as secretary of the J. Dudley Digges American Inn of Court. Michael is a past chair of the board of directors of Opera Baltimore.

Michael was a summer associate at Miles & Stockbridge in 2014. Before law school, he worked at the Canadian Embassy in Washington. He earned master’s degrees from the University of Bologna (Italy) and the University of Strasbourg (France) and is fluent in Italian, French, and Spanish.
