Defended Client's Contract Before GAO, CFC

Miles & Stockbridge defended a small business's cybersecurity services contract award with a federal immigration agency, prevailing both before the Government Accountability Office and the Court of Federal Claims against challenges by a competitor.

Defended Contractor Before Armed Services Board of Contract Appeals

Miles & Stockbridge represented a defense contractor before the Armed Services Board of Contract Appeals, defeating a Defense Department agency's attempt to unilaterally reduce the contractor's fixed labor rates on four contracts spanning more than a decade. The appellate board ruled in the contractor's favor, finding the agency had imposed indirect cost rates without identifying a single regulation authorizing it to do so.

Defended IT Contractor Before GAO on $340M Project

Miles & Stockbridge defended two contract awards to a joint venture government IT contractor against a competitor's challenge before the Government Accountability Office, preserving the client's work under a $340 million federal automation project. The GAO rejected the challenger's argument that the joint venture could not rely on a member's subcontracting experience, finding that federal regulations broadly require agencies to consider the aggregate experience of all joint venture partners.

Defended $549M Government Contract Against Protests

Miles & Stockbridge defended a $549 million government contract award for facility maintenance, environmental and support services at an Army base against protests from two competing bidders who argued their lower-priced bids should have been selected. The GAO rejected the challenges, finding that the Army had justified the price differential and that a direct price comparison was unreliable given that the winning bidder was the only contractor to submit a technically acceptable proposal.

Represented Building Services Client in Acquisition of Environmental Systems Company

Miles & Stockbridge represented a building services client in its acquisition of a New England-based environmental systems company, expanding the client's energy and sustainability platform. The deal closed within 45 days of first sending transaction documents, addressed environmental issues at an adjacent property and used a “bolt-on” representations-and-warranties insurance product tailored to private-equity roll-up platforms.

Represented Facilities Services Company in Acquisition of Government Contractor

Miles & Stockbridge represented a facilities services company in its acquisition of a provider of planning, design and build services for government agencies and contractors operating in mission-critical facilities across the Washington region.

Defended IT Contractor in DOJ Civil and Criminal Investigations

Defended a healthcare IT contractor in a U.S. Department of Justice criminal and civil investigation alleging that the company's then-CEO conspired to bribe a contracting officer in connection with approximately $550 million in federal contracts. The team worked with the board to separate the CEO and reclassify his shares, and then negotiated an expedited resolution with DOJ that preserved the company's operations and protected hundreds of innocent employees' jobs.  The team also successfully negotiated with the suspension and debarment official to avoid debarment of the company and successfully negotiated with the company’s D&O carrier to obtain a substantial amount of coverage for legal fees.

Conducting Internal Investigation for Cyber Company

A company providing integrated security services terminated an executive after revelations of discrimination in the organization and retaliation by the executive, as well as suspicions of the executive’s involvement in misconduct in connection with bids for state government contracts. Miles & Stockbridge conducted and advised the client through several different internal investigations and the ultimate termination of the executive and several other members of management. With our assistance, the client terminated the employees, clawed back all equity, and avoided a lawsuit.
